Welcome to ZenoHosp. These Terms of Service ("Terms") govern your use of the ZenoHosp Hospital Management Software platform, including our website, mobile applications, and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Definitions
- "Client" or "You" means the hospital, clinic, or healthcare entity subscribing to our Services.
- "Authorized User" means an employee, contractor, or agent authorized by the Client to use the Services.
- "Patient Data" means any health, personal, or medical records uploaded by the Client.
2. Use of Services
We grant You a non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations. You agree to:
- Use the Services only for lawful purposes and in accordance with applicable healthcare laws (e.g., HIPAA, ABDM).
- Ensure all Authorized Users maintain the confidentiality of their login credentials.
- Not reverse engineer, copy, or distribute the proprietary software code of ZenoHosp.
3. Service Level Agreement (SLA)
We strive to provide 99.99% uptime for the Services. Scheduled maintenance windows will be communicated at least 48 hours in advance. In the event of unscheduled downtime exceeding our SLA, You may be eligible for service credits as outlined in your specific enterprise contract.
4. Data Ownership and Responsibilities
You retain full ownership of all Patient Data. ZenoHosp acts solely as a data processor. You are solely responsible for ensuring you have the legal right and patient consent necessary to collect and process this data within our system. We are responsible for securing this data according to our Privacy Policy and Security standards.
5. Fees and Payment
Subscription fees are billed according to your selected tier and contract terms. Late payments may result in suspension of access to the Services. All fees are exclusive of applicable taxes, which are the responsibility of the Client.
6. Limitation of Liability
Medical Disclaimer: ZenoHosp provides administrative and operational software. We do not provide medical advice. Our platform is not a substitute for professional medical judgment. ZenoHosp shall not be liable for any medical errors, misdiagnoses, or patient harm resulting from the use of the software.
In no event shall ZenoHosp's total liability for any claims arising out of these Terms exceed the total amount paid by You to ZenoHosp in the twelve (12) months preceding the incident.
7. Termination
Either party may terminate this agreement with 30 days written notice. Upon termination, ZenoHosp will facilitate the secure export of all Patient Data to the Client before permanently deleting it from our active servers, subject to legal retention requirements.
